As a member of the firm's Distribution & Sales Group, Mr. Parisi represents manufacturers, importers and nationwide distributors in drafting, reviewing and negotiating sales and distribution contracts and agreements. He also practices in the areas of corporate mergers and acquisitions, corporate restructurings and intellectual property matters.

Mr. Parisi advises clients regarding appointments and terminations of sales representatives and distributors, and he assists clients in complying with applicable state and federal laws. Mr. Parisi also counsels clients relative to the Uniform Commercial Code (UCC), including secured transactions in the sale and purchase of goods. Mr. Parisi represents clients in dispute resolution, including the drafting and negotiating of settlement agreements.

Mr. Parisi's corporate experience includes the purchase and sale of corporate assets, mergers, acquisitions and business reorganizations. He advises clients in the formation of business entities, including limited liability companies and joint ventures. Mr. Parisi also acts as general counsel to various machine, printing press and machine tool companies, counseling them on employment, corporate governance, litigation and other legal issues.

In addition, Mr. Parisi represents clients in trademark matters, including prosecuting and resolving disputes. He also assists in trademark licensing arrangements.

 

Representative Matters


  • Handled the $75 million disposition of a major foreign power tool company's U.S. manufacturing operations.

  • Senior lender representation in a refinancing of a U.S. subsidiary of an international steel company.

  • Represented a major Japanese automobile parts manufacturer in the formation of joint ventures in the United States and the United Kingdom, and the connection with subsequent acquisition of the joint venture partner's interests therein.

  • Represented a foreign machine tool manufacturer in the acquisition of the domestically based machine tool manufacturing operations of various companies.

  • Represented major outdoor power equipment manufacturer in connection with the acquisitions of domestically based outdoor power equipment manufacturers.

  • Represented major consumer products manufacturer in connection with the acquisition of foreign and domestic manufacturer/seller of home consumer products (sewing machines).
