Jerry Carter is a member of Masuda Funai's Business and Distribution & Sales practice groups.

Mr. Carter's corporate practice focuses on mergers, acquisitions, financings, and divestitures; formation, maintenance and dissolution of business entities; corporate structuring; and international and domestic joint ventures. With respect to commercial matters, he focuses on all legal aspects of the manufacture and sale of goods, including purchasing agreements, terms and conditions of sale or purchase, supply agreements, and distribution agreements.

Mr. Carter has lived and worked in Japan, India, and Korea. Prior to law school and business school, he participated in the Japan Exchange & Teaching Program and worked at the trading arm of Japan's largest carmaker. Mr. Carter understands the Japanese language and culture and assists Japanese companies, in addition to other international companies, at all stages of their foreign direct investment in the U.S.

Representative Matters


  • Part of a team representing a Japanese manufacturer of aluminum in connection with a reorganization following its $155 million acquisition of a U.S.-based aluminum extrusion and fabrication company.

  • Assisted with a potential $50 million acquisition of a U.S.-based auto parts manufacturer by a German auto manufacturer.

  • Advised a Japanese manufacturer of cutting tools in connection with its $20 million acquisition of a U.S.-based carbide cutting tools company.

  • Part of a team representing a U.S. software company in connection with the $22.5 million sale of its assets to a U.S. wireless products and services company.

  • Advised a U.S. logistics company in connection with the $15 million sale of its stock to a Japanese logistics company.

  • Represented a Belgian manufacturer of decorations in connection with its acquisition of a U.S.-based distributor.

  • Assisted with a restructuring matter for a Japanese manufacturer of quartz crystal devices.

  • Represented an Irish blending and control process manufacturer in connection with the purchase of substantially all of the assets of a U.S.-based material handling equipment manufacturer.
