Since joining Masuda Funai in 1974, Mary Shellenberg has devoted her practice to corporate, transactional and employee benefits law. Ms. Shellenberg advises clients on entity selection and formation, mergers, acquisitions, divestitures and corporate restructurings. She also represents clients in negotiating and closing business and corporate financing transactions, including industrial revenue bond transactions, commercial loans, equipment leasing and other asset based financing.

With respect to employee benefits, Ms. Shellenberg advises and assists clients in the implementation and maintenance of qualified plans and non-qualified plans, as well as other fringe benefit arrangements.

Representative Matters

  • Represented clients in numerous asset and stock purchases and sales ranging in value from $1,000,000 to $325,000,000 including:

    • Acquisition of $300,000,000 manufacturing businesses involving multiple U.S. facilities and related entities;
    • Divestiture of $250,000,000 group of companies with transaction closings worldwide;
    • Acquisition of NASDAQ listed entity through tender offer for shares; and
    • Formation of joint venture entities involving the use and exchange of technology and establishment of manufacturing operations.

  • Represented client in the negotiation and closing of numerous small issue industrial revenue bonds.

  • Represented clients in the structuring, negotiation and closing of various forms of financing including equity based, securitized and traditional loan financings.

  • Advised clients in all phases of the implementation, maintenance and termination of 401(k), profit sharing and other benefit arrangements.

  • Advised clients with respect to correction of qualified plan failures.
