Joji Kagei serves as outside general counsel to several companies that do not have in-house legal counsel, from start up through their maturity in the market. He advises clients on corporate matters at all stages in the life of a corporation, including incorporation; mergers, acquisitions and dispositions; corporate restructurings; and sales of assets. He often represents clients in the drafting, review and negotiation of contracts, and assists in the analysis, development and implementation of dispute resolution strategies when the need arises. Mr. Kagei represents both lenders and borrowers in corporate financial transactions, including secured asset-based lending, construction loans and acquisition loans.

Mr. Kagei counsels business clients in employment agreements of all types, and advises them on the strategy, creation and implementation of risk-reducing employment and personnel policies, particularly those involving hiring, termination, wages and hours, discrimination and harassment. In addition, Mr. Kagei assists clients in obtaining immigration classification visas for employees and executives, individuals and professionals, as well as permanent residency and labor certification.

An experienced commercial real estate attorney, Mr. Kagei reviews, drafts and negotiates commercial leases for office, industrial, warehouse and retail properties, and represents clients in both the acquisition and sale of commercial real property.

As a fluent speaker of Japanese, Mr. Kagei has previously conducted seminars at the Japan Business Association (JBA). He also conducts in-house seminars and tutorials at the request of clients, on their premises, on such topics as discrimination, harassment and other employment issues; legal strategies for Japanese companies operating in the U.S.; issues affecting expatriates living in the U.S.; and the role and duties of corporate officers and directors.

Representative Matters

  • Represented a foreign holding company in its divestiture of office buildings and other real estate assets located in California, Utah, and Hawaii.

  • Guided a U.S. subsidiary of a foreign corporation in the acquisition of 100% of its partner's interest in a west coast assembly operation.

  • Represented shareholders of a California corporation in connection with the sale of a San Diego area private golf and tennis club.

  • Guided a U.S. subsidiary of a foreign corporation in the sale of golf courses located in Los Angeles and Riverside counties.

  • Represented a U.S. subsidiary of foreign corporation in the formation of a joint venture company to provide marine terminal services at a major west coast port.
